Terms of Service

1. What ACE Learning is
ACE Learning is an English-as-a-second-language platform that uses AI agents to deliver lessons, evaluate answers, score pronunciation, and surface progress dashboards. The platform is provided by ACE Learning ("we", "us") to students, teachers, and school administrators.
2. Your account
- You are responsible for the credentials you create and the activity on your account.
- You may not share your account or attempt to access another person's account.
- If your school owns the account, the school administrator may revoke access at any time.
3. Schools and invited students
When you join ACE through a school's invitation, the school is our customer and decides who has seats, which classes you belong to, and which staff can see your learning progress. For the personal data processed in that relationship, the school acts as the controller and ACE Learning operates the platform on the school's behalf (see the Privacy Policy for details). If your school ends its contract or revokes your seat, your access through that school ends too.
4. Minors
Students under the age of majority in their province or country may only use ACE through a school account. By inviting a minor student, the school confirms it has obtained the required parental or guardian consent. We do not offer direct sign-up to minors.
5. School materials
PDFs, curricula, class recordings, and other materials a school or teacher uploads remain the school's property. By uploading them, the school grants ACE Learning a limited licence to process those materials solely to provide the service — for example, generating lessons and exercises from them for that school's students. We do not use school materials to serve other customers.
6. Acceptable use
- No abuse, harassment, illegal content, or attempts to interfere with the platform's operation.
- No automated scraping, mass-account creation, or reverse engineering of the AI agents.
- We may suspend accounts that violate these rules without prior notice.
7. AI-generated content
Lessons, exercises, feedback, and scores are produced by AI models. They may contain mistakes. Use them as a study aid alongside a human teacher; do not treat them as the only source of truth. Teachers may override AI grades at any time. CELPIP practice scores are estimates for study purposes only — they are not official scores, and ACE Learning is not affiliated with or endorsed by the CELPIP program.
8. Payments and refunds
Where the platform charges for lessons or subscriptions, the billing terms are described at checkout. Refunds follow the policy stated at that point of sale.
9. Limitation of liability
ACE Learning is provided "as is" without warranties. We are not liable for indirect or consequential losses (e.g. an exam result based on platform feedback). Liability is capped at the amount paid for the service in the preceding 12 months.
10. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. Disputes will be resolved in the courts of Ontario, Canada. Nothing in this section removes consumer protections you are entitled to under the mandatory laws of the place where you live.
11. Changes to these terms
We may update these terms. Material changes will be communicated in-app or by email at least 30 days in advance. Continued use after the effective date counts as acceptance.
